Postal vote result: no change to process of electing BD chairman

All British Dressage (BD) members were invited recently to submit a postal vote to decide on the outcome of two special resolutions put forward at the 2008 AGM. Both have been rejected, which means no change will be made to the way in which the new chairman for BD is elected.
If introduced, it would have meant that the board of nine directors would choose the successor from among their own and members would no longer nominate or vote for the chairman.
The results for the Special Resolutions that were recently rejected are as follows:
Special Resolution 1: to remove the word “Chairman” from Article 10.8 and alter the wording, BD can announce that this resolution has been rejected

Special Resolution 2: That new Articles 10A be inserted in the Articles of Association of the Company as follows:-
10A CHAIRMAN
There shall be a Chairman of the Board.
10A.1 The Chairman of the Board, who shall also be the Chairman of the Company shall be appointed by the Board from among its members in such manner as the Board may from time to time decide.
10A.2 Subject to the right of a majority of all of the members of the Board to remove the Chairman at any time the Chairman shall hold office until the close of the third Annual General Meeting following his/her election or his/her appointment. During such period the Chairman shall be a member of the Board Ex-Officio”.
and the final sentence of Article 10.11.2 shall be deleted and replaced by the following:-
However, this provision does not apply to any co-opted Director who is the Chairman of the Board unless the Chairman has been in office as Chairman of the Board for 6 years at that date. Further, this provision does also not apply to any elected Director who is the Chairman of the Board unless that person has been in office as Chairman for 6 years at that date. The period for which a person may hold the office of Chairman shall not in any event exceed 6 years in total.

These figures represent 2% of the membership. However, even with such a small number of our members voting, the resolution is rejected and no alteration will be made to the Articles.
